These Terms of Service ("Terms") govern your access to and use of the EUCheckout platform, websites, applications, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. About EUCheckout

EUCheckout provides checkout optimization, payment processing integrations, order management, analytics, and related ecommerce services for online merchants.

EUCheckout is not a bank, payment processor, payment institution, or financial institution. Payment processing services are provided by third-party providers such as Stripe and other supported payment providers.

2. Eligibility

You may use the Services only if:

  • You are at least 18 years old.
  • You have the authority to enter into these Terms.
  • Your use of the Services complies with all applicable laws and regulations.
  • You provide accurate and complete account information.

3. Account Registration

To access certain features, you may be required to create an account. You agree to:

  • Maintain accurate account information.
  • Keep login credentials secure.
  • Notify us immediately of unauthorized access.
  • Be responsible for all activities occurring under your account.

You are solely responsible for actions taken through your account.

4. Merchant Responsibilities

As a merchant, you are solely responsible for:

  • Products and services you sell.
  • Product descriptions and pricing.
  • Taxes, duties, and regulatory compliance.
  • Customer service and dispute handling.
  • Refunds, returns, and warranties.
  • Compliance with consumer protection laws.

EUCheckout does not assume responsibility for your products, services, or customer relationships.

5. Payment Processing

EUCheckout integrates with third-party payment providers. By using our Services, you acknowledge that:

  • Payment transactions are processed by third-party providers.
  • You must comply with the terms of your payment processor.
  • EUCheckout does not control payment approvals or declines.
  • EUCheckout is not responsible for processor outages, delays, chargebacks, or payment disputes.

Any fees charged by payment providers remain your responsibility.

6. Fees and Billing

Use of the Services may require payment of subscription fees, transaction fees, or other charges. You agree that:

  • Fees are non-refundable unless otherwise stated.
  • We may modify pricing with reasonable notice.
  • Failure to pay fees may result in suspension or termination of Services.

All fees are exclusive of taxes unless expressly stated otherwise.

7. Prohibited Activities

You may not use the Services to:

  • Violate laws or regulations.
  • Sell illegal goods or services.
  • Process fraudulent transactions.
  • Infringe intellectual property rights.
  • Distribute malware or harmful code.
  • Interfere with platform security.
  • Engage in money laundering, sanctions violations, or terrorism financing.
  • Abuse APIs or platform resources.

We reserve the right to suspend or terminate accounts involved in prohibited activities.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. You represent that:

  • You have lawful rights to collect and process customer data.
  • You have provided required privacy notices.
  • You comply with applicable data protection laws, including GDPR and other applicable regulations.

9. Intellectual Property

The Services, including software, designs, trademarks, logos, APIs, and content, are owned by EUCheckout or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services.

You may not:

  • Copy or reverse engineer the Services.
  • Resell the Services without authorization.
  • Remove proprietary notices.
  • Create derivative works from our platform.

10. API Usage

If APIs are provided:

  • API credentials must remain confidential.
  • Excessive or abusive API usage may be restricted.
  • We may modify APIs at any time.
  • You are responsible for all API activity conducted under your credentials.

11. Service Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability. The Services may experience:

  • Maintenance interruptions.
  • Third-party provider outages.
  • Internet disruptions.
  • Security incidents.
  • Technical failures.

We are not liable for downtime or service interruptions.

12. Third-Party Services

The Services may integrate with: Stripe, Shopify, Klaviyo, Meta, TikTok, Google, and other third-party providers.

Your use of such services is governed by their respective terms and policies. EUCheckout is not responsible for third-party services.

13. Chargebacks and Disputes

Merchants are solely responsible for:

  • Customer disputes.
  • Refund requests.
  • Chargebacks.
  • Payment reversals.

EUCheckout does not arbitrate disputes between merchants and customers.

14. Suspension and Termination

We may suspend or terminate access to the Services if:

  • You violate these Terms.
  • We suspect fraud or abuse.
  • Required by law.
  • Continued access creates risk to the platform or other users.

You may terminate your account at any time. Termination does not relieve obligations incurred before termination.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUCHECKOUT DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED SERVICE, AND ERROR-FREE OPERATION.

We do not guarantee increased sales, conversion rates, or business performance.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUCHECKOUT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO EUCHECKOUT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

17. Indemnification

You agree to indemnify and hold harmless EUCheckout, its officers, employees, affiliates, and partners from claims arising from your use of the Services, your products or services, your violation of these Terms, your violation of applicable laws, or customer disputes and chargebacks.

18. Changes to the Services

We may modify, update, or discontinue any part of the Services at any time without liability. Continued use after changes become effective constitutes acceptance of the updated Terms.

19. Automatic Fee Collection & Billing Authorization

EUCheckout charges applicable fees automatically in the following order:

  • Step 1 — EUCheckout Balance: Fees are first deducted from your EUCheckout account balance.
  • Step 2 — Attached Payment Method: If your balance is insufficient, we will attempt to charge the outstanding fee from a payment card attached to your billing profile.
  • Step 3 — Checkout Deactivation: If both attempts fail, your checkout(s) will be automatically deactivated. To reactivate, you must recharge your EUCheckout balance to cover the outstanding due fee.

By topping up your EUCheckout balance or updating your billing portal (including adding or updating a payment card), you expressly authorise EUCheckout to:

  • Deduct applicable fees from your EUCheckout balance; and
  • In the event of an insufficient balance, charge the outstanding fee from the payment method on file in your billing profile.

This authorisation remains in effect until you remove your payment method or close your account. You are responsible for ensuring your balance or payment method has sufficient funds to cover all outstanding fees.
